Terms and Conditions

These Terms and Conditions (the "Terms") govern access to and use of vale.money and the related websites, applications, research tools, portfolio connectivity features and paid subscription services provided by Vale Finance LLC ("Vale", "we", "us" or "our").

By accessing or using Vale, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the service.

You may use Vale only if you have the legal capacity to enter into a binding contract with us and provided that use of the service is permitted under applicable law. You are responsible for complying with the laws and regulations that apply to you, including those in force in the Argentine Republic and in your jurisdiction of residence.

If you use Vale on behalf of a company, fund, advisory business or other entity, you represent that you have authority to bind that entity to these Terms.

Vale is currently an investment research, data, analytics and educational content platform covering financial markets. It may offer market data, charts, news, regulatory filings, watchlists, portfolio analytics, community signals, AI-generated summaries and portfolio-aware research tools.

Vale does not currently offer any of the following services:

• Brokerage, custody, clearing or securities settlement services.
• Order execution, order routing or discretionary account management.
• Personalized investment advisory or financial planning services.
• Tax, legal, accounting or other regulated professional advice.

Vale is not an investment adviser registered with the CNV or with any other regulator, nor is it a licensed broker-dealer. Nothing on Vale constitutes personalized investment advice, a recommendation to buy, sell, hold or transfer any security, or an offer or solicitation to enter into any securities transaction or investment strategy.

Vale's content is general in nature. Even where the service uses your connected portfolio, watchlist, queries or other inputs to organize research or provide context, that functionality does not turn the service into a personalized advisory program, does not create a fiduciary relationship and does not imply that Vale acts in your best interest.

You are solely responsible for evaluating any information you find on Vale and for all investment, trading and tax decisions you make.

If you choose to act on any research, screener, ranking, chat output, portfolio analysis or notification available on Vale, you do so entirely at your own risk.

Any label, score, ranking, trade idea, model output, watchlist alert or action-oriented language on Vale, including terms such as buy, sell, hold, add, reduce, rotate or rebalance, is informational only, unless expressly identified as part of a separate regulated service offered under its own terms and disclosures.

This applies specifically to Vale's AI assistant and to any similar portfolio-aware monitoring, notification, messaging or workflow feature. The assistant may present research, summarize developments, highlight risks, generate trade ideas or use directive language, but those outputs do not constitute investment advice, are not individualized recommendations, are not a promise of future performance and must not be relied upon as the basis for investment decisions without your own independent review.

Using Vale does not create an investment advisory, brokerage, agency, partnership or fiduciary relationship between you and Vale Finance LLC, or with any of its affiliates, officers, employees, contractors or service providers.

We do not accept discretionary authority over your assets, we have no authority to trade on your behalf and we do not undertake to monitor your account on a continuous basis for advisory purposes.

Should Vale offer in the future any services involving order execution, discretionary management, personalized investment advice or any other activity requiring registration, licensing or supervision by the CNV or another competent regulator, those services will be offered only under separate terms, disclosures and account documentation and, where applicable, through a separate regulated entity, affiliate or third-party provider.

Until that happens, you should assume that such services are not part of Vale's current offering.

Vale uses software and artificial intelligence models to generate summaries, responses, rankings and other outputs. AI and automation systems may be incorrect, incomplete, outdated, biased, inconsistent or misleading. They may produce statements that sound plausible but are inaccurate.

You must independently verify any information before relying on it as the basis for a decision. AI-generated outputs are provided for informational and educational purposes only and are not guaranteed to be accurate, complete or suitable for your particular circumstances.

AI assistant outputs may be incomplete, may omit relevant facts, may rely on delayed or incorrect third-party data, and may present a simplified or directional view of a security, portfolio or market event. The assistant does not know your full financial situation, risk tolerance, liquidity needs, time horizon, tax position or legal obligations, and is not a substitute for a licensed financial, legal or tax professional.

Vale may also display, compare or analyze outputs from different model providers in public or experimental features. Such references do not by themselves imply that your private queries, messages or connected portfolio data are sent to those providers.

Vale may offer watchlist alerts, price alerts, event alerts, news alerts, summaries, portfolio alerts, push notifications, emails, in-app notifications and similar automated messages based on criteria you configure or that we make available on the platform.

These alerts and notifications are informational only. They do not constitute recommendations, trading instructions, broker communications or a promise that any security should be bought, sold or monitored in a particular way.

Alert functionality depends on third-party data, connectivity, device settings, platform permissions and network availability. Alerts may be delayed, incomplete, triggered incorrectly, duplicated or undelivered. You are solely responsible for monitoring your investments, orders and risk exposures.

Using alerts creates no obligation for Vale to monitor the markets, your portfolio or your account on a continuous basis, or to notify you of every relevant event. Even if the AI assistant or the alerts appear to be watching your portfolio continuously, that does not mean Vale assumes an advisory monitoring obligation, a duty of supervision or a real-time fiduciary service.

Vale relies on third-party data feeds, public filings, market data, AI providers and other external sources. Data may be delayed, incomplete, inconsistent, unavailable or incorrect. Public filings and disclosures may contain errors or may have been published after the relevant event.

You should use official statements from your broker, price feeds from primary sources and other official sources to confirm information before acting on it.

References to public figures, funds, insiders, community behavior, models, rankings or AI agents are informational only. They do not constitute endorsements, suitability determinations or promises that similar results will recur.

Broker connectivity features are established directly through official, publicly available APIs published by those brokers for such purposes. When you connect a broker account, Vale receives the read-only portfolio data necessary to power research and analytics features.

• Vale cannot execute trades, transfer funds or modify your broker account through the current connectivity features.
• Connected portfolio data may be delayed, stale, incomplete or inconsistent with your broker's official records.
• Your use of portfolio connectivity features may also be subject to the terms and policies of the applicable connectivity provider.

You are responsible for your account credentials, devices and all activity occurring under your account. You agree to provide accurate information and to notify us immediately at legales@vale.money if you suspect unauthorized access.

You may not:

• Use Vale in violation of laws or regulations, including those in force in Argentina and in your jurisdiction of residence.
• Scrape, resell, republish or redistribute protected content or data without authorization.
• Interfere with the security or operation of the service.
• Use the service to provide advice or regulated services to third parties without the corresponding license.
• Present Vale outputs as guaranteed, official or as personalized professional advice.
• Use bots, scripts or automated means to access the service in a way that overloads our systems or circumvents access controls.
• Attempt to reverse engineer, decompile or extract source code except to the extent permitted by law.

We may impose limits on usage, storage, queries, features or API access at our discretion for security, operational, product or commercial reasons.

Certain features require a paid subscription. By purchasing a subscription, you authorize the applicable payment provider to charge the corresponding recurring fees, taxes and other disclosed amounts.

Unless stated otherwise, subscriptions renew automatically until cancelled. Cancellation will stop future renewals but generally does not entitle you to a retroactive refund of amounts already paid, except where applicable law or our refund policies require it.

We may change prices, plans, trial periods, credits or feature availability at any time. If we change the price of a recurring subscription, the new price will apply from a future renewal date, upon notice as required by applicable law.

Vale may include or depend on third-party services, websites, content, tools, data feeds, authentication providers, payment processors or connectivity providers. Your use of those services may also be governed by their own terms and policies.

We are not responsible for third-party products or services, including their accuracy, security, availability, billing practices or legal compliance.

You retain ownership of the queries, messages, files and other content you submit, to the extent you have the legal right to do so. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, process, adapt, transmit and display that content as necessary to operate, secure, improve and support the service.

If you provide us with feedback, suggestions or product ideas, we may use them without restriction and without compensation to you.

You consent to receive electronic communications from us relating to the service, including account, billing, legal and operational messages.

The service, including our software, brand, interfaces, design, text, visual assets, compiled datasets and derived outputs protected by law, is owned by Vale Finance LLC or its licensors. Except for the limited rights necessary to use the service under these Terms, no additional rights are granted to you.

To the maximum extent permitted by law, Vale is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability or results. We do not warrant that the service will be uninterrupted, secure, error-free or suitable for trading, investment, regulatory compliance, tax or legal purposes.

To the maximum extent permitted by law, Vale Finance LLC and its affiliates, officers, directors, employees, contractors, licensors and service providers shall not be liable for indirect, incidental, consequential, special, exemplary, punitive or similar damages, or for loss of profits, revenue, goodwill, data, business or trading opportunities, or investment value, arising out of or relating to the use of Vale.

Without limiting the foregoing, we shall not be liable for losses arising from investment decisions, trading activity, missed opportunities, inaccurate or delayed data, AI outputs, delayed or undelivered alerts, service interruptions, account compromise, third-party provider failures or inaccuracies in public data.

To the extent permitted by law, our aggregate liability for all claims arising out of or relating to the service shall not exceed the greater of ARS 10,000 or the amount you paid us for the service in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liabilities that cannot be limited under applicable law.

You agree to defend, indemnify and hold harmless Vale Finance LLC and its affiliates, officers, directors, employees, contractors, licensors and service providers from and against any claims, demands, actions, liabilities, damages, judgments, losses and expenses, including reasonable attorneys' fees, arising out of or relating to your use of Vale, your content, your breach of these Terms or your violation of law or third-party rights.

We may modify, suspend or discontinue any part of the service at any time. We may also suspend or terminate your access if we believe you have breached these Terms, created risks for us or third parties, or where legal, security or operational reasons require it.

We may update these Terms from time to time. Updated Terms take effect upon posting, unless a later date is stated. In the event of material changes, we will seek to notify you through the channels available on the platform.

Upon termination, provisions that by their nature should survive will survive, including those relating to intellectual property, disclaimers of warranties, limitations of liability, indemnification, payment obligations and dispute-related terms.

These Terms constitute the entire agreement between you and us regarding the service, except for additional terms that expressly apply to specific products or purchases.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision does not constitute a waiver of it.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization or sale of assets.

These Terms are governed by the laws of the Argentine Republic, including the Argentine Civil and Commercial Code and the applicable CNV regulations, without prejudice to the conflict-of-laws rules that may apply.

For the resolution of any dispute arising out of these Terms or the use of the service, the parties submit to the jurisdiction of the ordinary courts of the Autonomous City of Buenos Aires, unless applicable law provides otherwise. Notwithstanding the foregoing, nothing in these Terms prevents Vale Finance LLC from applying to any competent court for injunctive or other urgent relief.

Historical results, backtests, simulations and past trades do not guarantee future results. The value of investments can go up or down, and you may lose money.

Before making any investment, tax or legal decision, you should consult licensed professionals who understand your particular circumstances.
